By accessing or using our websites, creating an account, participating in our community or downloading resources, you agree to these Terms of Use.

Paid self-paced courses are governed by our Paid Course Terms and Conditions as well as these Terms of Use.

  • inclusions;

  • other features of the particular product.

If there is an inconsistency between these general Terms of Use and the Paid Course Terms concerning a paid course purchase or entitlement, the Paid Course Terms take precedence to the extent of the inconsistency.

Higher-value programs, consulting, coaching or other services may have separate agreements or terms.

5. Accounts and Account Security

  • presentations;
  • graphics;
  • photographs;
  • illustrations;
  • downloads;
  • templates;
  • worksheets;
  • frameworks;
  • branding;
  • logos; and
  • website content.

Australian and international intellectual property laws may protect this material.

Access to WilBrown.com does not transfer ownership of our intellectual property to you.

Except where expressly permitted in these Terms or in terms applying to a particular product, you must not reproduce, sell, redistribute, publish or commercially exploit WilBrown.com content without permission.

8. Free Resources and Downloads

We may provide free templates, checklists, guides, worksheets and other downloadable resources.

Unless otherwise stated, we grant you a personal, non-exclusive and non-transferable licence to use these resources for your own personal or internal business purposes.

You may adapt a free resource for use within your own business, including applying your own branding or modifying its structure to suit your needs.

When participating, you must comply with our Code of Conduct and any reasonable rules or instructions applying to a particular community space.

You are responsible for the material you post and for ensuring that you have the right to share it.

Community rules, features and spaces may evolve over time. We may introduce, rename, combine, archive or discontinue general community spaces where reasonably necessary.

For free community spaces or services, we may make changes or discontinue access without a fixed notice period, although we will provide reasonable notice where practicable.

Any specific access commitment associated with a paid course is governed by the Paid Course Terms.

10. Community Conduct

Without limiting our Code of Conduct, you must not use community features to:

  • harass, threaten, abuse or discriminate against another person;
  • post defamatory, unlawful, obscene or deliberately harmful material;
  • share confidential information without authority;
  • infringe copyright, trademarks or other intellectual property rights;
  • distribute malware or harmful files;
  • harvest member information;
  • impersonate another person;
  • deliberately disrupt discussions or community activity; or
  • engage in repeated unsolicited promotion, spam or other conduct inconsistent with the purpose of the community.

Whether particular promotional activity is appropriate may depend on the relevant community space and our current community guidelines or moderation practices.

11. Content You Submit

You retain ownership of content you create and submit to WilBrown.com, including community posts, comments, questions, feedback and profile content.

By submitting content, you grant us a non-exclusive licence to host, store, reproduce and display that content only to the extent reasonably necessary to:

  • operate the Website or community;
  • display your contribution to appropriate users;
  • provide the relevant service;
  • moderate or administer the community;
  • maintain backups; and
  • comply with legal obligations.

This licence does not transfer ownership of your content to us.

We will not ordinarily use identifiable community contributions, photographs, testimonials or other Participant content in public marketing without obtaining separate permission.

You represent that you have the necessary rights to submit any content you provide.

12. Moderation and Removal of Content

We may moderate community spaces and remove or restrict access to content where we reasonably believe it:

  • breaches these Terms or our Code of Conduct;
  • infringes another person’s rights;
  • is unlawful;
  • poses a security or safety risk;
  • is spam or abusive;
  • contains confidential information that should not be publicly shared; or
  • materially disrupts the operation of the community.

We are not required to monitor every piece of user-generated content.

13. Suspension or Termination of Accounts

We may suspend or terminate access to an account or service where reasonably necessary, including where:

  • you materially or repeatedly breach these Terms;
  • you breach our Code of Conduct;
  • your account creates a security risk;
  • there is suspected fraud or misuse;
  • we are required to do so by law;
  • you interfere with the operation of the service;
  • your behaviour materially affects other members’ ability to use the community; or
  • the relevant free service is being discontinued.

Where appropriate and reasonably practicable, we may first provide a warning or an opportunity to correct the issue.

Suspension or termination of general community access does not automatically alter any rights you may have under separate Paid Course Terms.

14. Educational and Informational Content

Content provided through WilBrown.com is primarily intended for educational and informational purposes.

Although we draw on professional experience and aim to provide useful and accurate information, general website and educational content is not a substitute for advice tailored to your individual circumstances.

In particular, content should not be treated as legal, financial, taxation, accounting, medical or other regulated professional advice unless expressly stated otherwise.

You are responsible for deciding whether information is suitable for your circumstances and for obtaining appropriate professional advice where necessary.

15. No Guaranteed Results

We may provide information, training and resources intended to help freelancers and business owners develop skills and improve their businesses.

However, we do not guarantee any particular:

  • income;
  • revenue;
  • profit;
  • number of clients;
  • business outcome;
  • employment outcome;
  • ranking;
  • website performance; or
  • other result.

Your results depend on many factors outside our control, including your experience, decisions, implementation, market conditions and individual circumstances.

Examples, testimonials and results achieved by other people do not guarantee that you will achieve the same outcome.

16. Accuracy of Information

We take reasonable care when preparing WilBrown.com content.

However, technology, business practices, software, products, laws and industry standards change over time.

Information may therefore become incomplete or outdated.

Where we use affiliate links or may receive a commission from a recommendation, we will disclose this where required or appropriate.

We aim to keep WilBrown.com and our services available and functioning properly, but we cannot guarantee continuous or uninterrupted availability.

Services may occasionally be unavailable because of:

  • technical problems;

  • circumstances outside our reasonable control.

We may make reasonable changes to the Website, technology platform, community structure or free services as our business and technology evolve.

Nothing in this section allows us to remove or materially reduce a specific paid entitlement where doing so would conflict with the applicable Paid Course Terms or rights you have under law.

19. Free Services and Resources

We may add, change or discontinue free resources, free courses, community features or other services provided without charge.

We do not promise that any free resource or service will remain available indefinitely.

If we permanently discontinue a significant free service, we will provide reasonable notice where practicable.

20. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded or restricted, including rights that may apply under the Australian Consumer Law.

Where the Australian Consumer Law or another applicable law provides you with a right or remedy, these Terms operate subject to that right or remedy.

Consumer guarantees under Australian law apply automatically where applicable and cannot be removed merely by contractual wording.

21. Liability

To the extent permitted by law, WilBrown.com is not responsible for loss caused solely by:

  • your failure to follow reasonable instructions;
  • your reliance on general educational information as personalised professional advice;
  • your misuse of our websites or services;
  • unauthorised use of your account resulting from your failure to keep your credentials secure;
  • independent third-party websites or services outside our reasonable control; or
  • circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Nothing in this section prevents you from exercising rights available to you under applicable consumer or other law.

23. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Subject to any rights you may have under applicable law, the courts and tribunals of New South Wales may hear disputes arising in connection with these Terms.

24. Changes to These Terms

We may update these Terms from time to time to reflect reasonable changes in:

  • our services;
  • technology;
  • community operation;
  • business practices; or
  • applicable law.

The current version will be published on this page with an updated date.

Where a change is material and affects existing registered users, we will take reasonable steps to provide notice where appropriate.

Changes to these general Terms will not retrospectively remove or materially reduce a paid entitlement that is governed by separate Paid Course Terms unless:

  • required by law;
  • reasonably necessary because of security or circumstances outside our control; or
  • an appropriate alternative or remedy is provided where required.

Unilateral variation powers can be relevant when assessing whether standard-form contract terms are unfair, which is why I would keep this clause bounded rather than retaining the old “sole discretion” language.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or removed to the minimum extent necessary, and the remaining provisions will continue to apply.

26. No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

27. Entire Agreement

These Terms, together with any documents expressly incorporated by reference, govern your use of the Website and general WilBrown.com services.

Where you purchase a product or service subject to additional terms, those additional terms form part of the agreement relating to that product or service.
